<p>Private limited companies in the UK must meet a range of legal compliance and reporting obligations. From annual filings to statutory registers, these duties fall primarily on directors and can result in significant penalties and personal liability if missed.</p>
<p>Many private companies fall into non-compliance not through wilful neglect, but because the rules are opaque, time-consuming and ever-changing. But directors remain legally responsible – and HMRC, Companies House and regulators are <a href="https://www.linnearlegal.co.uk/resources/uk-government-releases-second-eccta-progress-report/">increasingly proactive in enforcement</a>.</p>
<p>Understanding and meeting your compliance obligations not only keeps your company legal – it strengthens governance, boosts credibility and prepares you for growth. This article outlines key statutory responsibilities, deadlines and how to stay ahead of regulatory change to help private companies remain compliant and avoid unnecessary risk.</p>
<h2>Annual reporting and corporate transparency obligations</h2>
<p>Companies have numerous responsibilities regarding annual reporting, corporate transparency and penalties for non-compliance – but this is not without good reason. As we have explored in our <a href="https://www.linnearlegal.co.uk/resources/corporate-law-2024-roundup-key-cases-developments/">analysis</a> of the case <a href="https://www.bailii.org/ew/cases/EWCA/Civ/2024/934.html" target="_blank" rel="noopener">Bland and Mayo v Keegan</a>, poor record-keeping can cause legal headaches for companies, throwing up issues in courts that are difficult, time-consuming and expensive to untangle.</p>
<p>It’s also vital that companies are aware of the risks of not complying with their obligations. Not complying can result in your company being struck off, which is something that is happening more often as Companies House increases its powers and focus on transparency.</p>
<p>Below, we outline the Companies House reporting obligations that private companies need to comply with.</p>
<h3>Confirmation Statement (formerly Annual Return)</h3>
<p>All private limited companies must file a <a href="https://www.gov.uk/file-your-confirmation-statement-with-companies-house" target="_blank" rel="noopener">Confirmation Statement</a> with Companies House at least once every 12 months. This provides Companies House with up-to-date details about directors, shareholders, registered office address and persons with significant control (PSC).</p>
<p>Even if there are no changes, filing is mandatory.</p>
<p>The deadline is usually a year from the date of the previous Confirmation Statement. Failure to file can lead to criminal penalties and eventual strike-off. Keeping your statutory registers up to date will make it easier for you to be properly prepared (see ‘Statutory registers and record-keeping&#8217; below).</p>
<h3>Annual accounts</h3>
<p>Private companies also need to prepare and file annual accounts, which should reflect the financial activity of the company and align with its tax filings. Depending on the size of the company, different formats apply (e.g. micro-entity, small, medium or full accounts).</p>
<p>Accounts must be filed with Companies House within nine months of the company’s year-end. Missing this deadline will lead to automatic fines that escalate over time and strike-off.</p>

<h2>Corporation tax and compliance with HMRC obligations</h2>
<p>In addition to Companies House duties, private companies must meet corporation tax and other HMRC filing obligations. These include:</p>
<ul>
<li>Submitting a <a href="https://www.gov.uk/government/publications/corporation-tax-company-tax-return-ct600-2015-version-3" target="_blank" rel="noopener">corporation tax return (CT600)</a> annually</li>
<li>Paying corporation tax within nine months and one day of the financial year-end</li>
<li>Submitting accurate VAT returns (if registered)</li>
<li>Complying with PAYE and National Insurance rules if the company has employees</li>
</ul>
<p>HMRC penalties can be steep, and enforcement is increasingly data-driven, so it’s important that companies prioritise bookkeeping and timely submission of tax filings.</p>
<h3>Statutory registers and record-keeping</h3>
<p>Companies are required, under the Companies Act 2006, to maintain certain statutory registers, either at their registered office or a <a href="https://www.qualitycompanyformations.co.uk/blog/what-is-a-single-alternative-inspection-location-sail-address/">Single Alternative Inspection Location (SAIL)</a>. These include:</p>
<ul>
<li>Register of members (shareholders)</li>
<li>Register of directors and secretaries</li>
<li>Register of PSCs</li>
<li>Register of charges</li>
</ul>
<p>These records must be kept up to date and made available for inspection on request. Electronic records are acceptable, provided they are legible and secure.</p>
<h4>Different reporting obligations for different transactions</h4>
<p>Note that there are different reporting obligations for different transactions, and Companies House has different types of forms that need to be filed, so companies should always check whether a filing is required. For example, sometimes members’ resolutions need to be filed at Companies House.</p>
<h3>Persons with significant control (PSC) Rules</h3>
<p>Companies must identify and report individuals or entities with significant control over the business. A PSC generally:</p>
<ul>
<li>Holds more than 25% of shares or voting rights</li>
<li>Can appoint or remove a majority of directors</li>
<li>Otherwise exerts significant influence or control</li>
</ul>
<p>Changes to PSC details must be reported to Companies House within 14 days. Accurate PSC information is essential for anti-money laundering compliance and public transparency.</p>
<h2>Directors’ duties and internal governance</h2>
<p>Under the Companies Act 2006, directors owe seven legal duties to the company. These are:</p>
<ul>
<li>Acting within the powers set out in the company’s constitution</li>
<li>Promoting the success of the company for the benefit of its members</li>
<li>Exercising reasonable care, skill and diligence</li>
<li>Exercising independent judgement</li>
<li>Avoiding conflicts of interest</li>
<li>Not accepting benefits from third parties</li>
<li>Declaring interests in transactions or arrangements.</li>
</ul>
<p>In practice, this means directors must ensure:</p>
<ul>
<li>Board and shareholder decisions are properly recorded</li>
<li>Statutory books and internal records are up to date</li>
<li>Legal risks and liabilities are proactively managed</li>
</ul>
<h2>Advantages of good corporate governance</h2>
<p>Corporate governance refers to the systems, principles and processes by which a company is directed and controlled. For private companies, good governance is essential to long-term success: it underpins long-term value creation, accountability and transparency. It includes everything from board structures and directors’ duties to risk management and ethical conduct.</p>
<p>‘Governance’ – the ‘G’ in ESG – can feel like the forgotten sibling to the more à la mode pillars ‘environmental’ and ‘social’, but it’s a key pillar and shouldn’t be overlooked. Investors and partners increasingly expect businesses to demonstrate robust governance practices. For private companies, this can be a real differentiator when seeking funding, attracting talent or preparing for sale.</p>
<p>Clear decision-making processes, well-maintained internal records and an active commitment to compliance are all hallmarks of good governance. Getting these foundations right can reduce legal risk, build credibility and help create a more resilient business.</p>
<h2>Other significant compliance obligations</h2>
<h3>Employment law compliance</h3>
<p>If your company employs staff, you must do the following:</p>
<ul>
<li>Issue written terms of employment</li>
<li>Comply with National Minimum Wage laws</li>
<li>Conduct right-to-work checks</li>
<li>Enrol eligible staff into a workplace pension scheme</li>
<li>Maintain appropriate employer insurance and HR policies</li>
</ul>
<h3>Data protection (UK GDPR)</h3>
<p>If you collect or store personal data, you must:</p>
<ul>
<li>Identify and document a lawful basis for processing</li>
<li>Provide a clear privacy policy</li>
<li>Implement data protection and cybersecurity measures</li>
<li>Register with the Information Commissioner’s Office (ICO) if required</li>
</ul>
<h3>Licensing and sector-specific rules</h3>
<p>Some industries – such as financial services, healthcare, transport, and food – require specialist licences. Failure to comply can result in regulatory fines, criminal liability or forced closure. Businesses should check before they begin trading whether they need to obtain any specific licences, consents or permissions.</p>
<h2>Importance of compliance when raising capital or preparing for sale</h2>
<p>When investors or buyers review your business, legal and financial compliance is one of the first things they scrutinise. Gaps here can delay or derail deals – or even be used to drive down the price of the business significantly.</p>
<p>Raising capital often involves intensive disclosure requirements. Investors need to understand what they’re buying into, how the business is structured, and whether the legal foundations are sound. <p>The Economic Crime and Corporate Transparency Act 2023 (ECCTA) is ushering in the most significant Companies House reforms in decades. From 2025 onwards, all companies will be subject to <a href="https://www.linnearlegal.co.uk/resources/upcoming-changes-eccta-businesses/">new compliance obligations</a>, including:</p>
<ul>
<li>Mandatory identity verification for all directors, PSCs and authorised agents</li>
<li>Stricter checks on filings, with the power to reject inaccurate or suspicious documents</li>
<li>Greater data-sharing between Companies House and enforcement bodies</li>
<li>Fines and enforcement against companies that fail to comply</li>
</ul>
